Toast Linker End User License Agreement
Effective date: July 27, 2026
This End User License Agreement (“Agreement”) governs the use of Toast Linker, proprietary software owned and maintained by MGC Enterprises, LLC, doing business as My Garden Cafe (“Licensor”).
1. Acceptance
By installing, accessing, or using Toast Linker, the user agrees to this Agreement. Use is limited to authorized owners, employees, contractors, and agents acting for My Garden Cafe or an affiliated entity approved by Licensor.
2. License grant
Subject to this Agreement, Licensor grants authorized users a limited, revocable, non-exclusive, non-transferable license to use Toast Linker solely for internal business accounting purposes on approved devices and with authorized Toast and QuickBooks Online companies.
3. Restrictions
Do not sell, sublicense, distribute, publish, rent, or commercially offer Toast Linker.
Do not provide access to unaffiliated businesses or unauthorized persons.
Do not circumvent security, authorization, audit, date, validation, or duplicate controls.
Do not use the application to access a Toast or QuickBooks company without authorization.
Do not copy, reverse engineer, modify, or create derivative works except as permitted by law or authorized by Licensor.
4. Authorized services and credentials
Toast Linker relies on third-party services, including Toast and Intuit QuickBooks Online. Users must maintain valid authorization and comply with applicable third-party terms. Passwords, client secrets, OAuth tokens, and SSH private keys must be protected and may not be shared with unauthorized persons.
5. Accounting responsibility
Toast Linker is an automation and validation tool; it is not legal, tax, audit, or professional accounting advice. Authorized users remain responsible for source-data accuracy, account and class mappings, appropriateness of journal entries, review of warnings and errors, backups, reconciliations, and compliance with applicable accounting and record-retention requirements.
6. Updates and changes
Licensor may update, suspend, or discontinue Toast Linker. Updates may change compatibility, security requirements, integrations, or functionality. Users must use approved versions and follow installation and backup instructions.
7. Ownership
Toast Linker, its source code, documentation, branding, configuration, and related intellectual property remain the property of Licensor or its licensors. No ownership rights are transferred.
8. Privacy
Use is also governed by the Toast Linker Privacy Policy.
9. Disclaimer of warranties
To the maximum extent permitted by law, Toast Linker is provided “as is” and “as available,” without warranties of uninterrupted operation, error-free performance, merchantability, fitness for a particular purpose, or non-infringement. Third-party service availability and data are outside Licensor's control.
10. Limitation of liability
To the maximum extent permitted by law, Licensor will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, business opportunity, or goodwill arising from Toast Linker. Licensor's aggregate liability will not exceed the amount, if any, paid specifically for licensed use of Toast Linker during the twelve months preceding the claim.
11. Termination
This license terminates automatically when authorization is withdrawn, the user's relationship with the authorized business ends, or this Agreement is violated. Upon termination, the user must stop using Toast Linker and remove credentials and copies as directed, subject to record-retention obligations.
12. Governing law
This Agreement is governed by the laws of the State of California, without regard to conflict-of-law rules. Any dispute will be brought in a court of competent jurisdiction in California, unless applicable law requires otherwise.
13. Entire agreement and severability
This Agreement and the Privacy Policy constitute the agreement governing Toast Linker. If any provision is unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver.
